Terms of Service

These Terms of Service (“Terms”) govern your access to and use of DripRaven, provided by Helicon Solutions LLC (“Helicon Solutions”, “we”, “us”, or “our”), including our website, API and the DripRaven MCP connector (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you agree on its behalf and represent that you are authorized to do so.

1. The Service

DripRaven is a WhatsApp broadcast and drip-campaign tool designed to be operated by AI agents through the Model Context Protocol (MCP) and through a REST API. It lets you import contacts, build audience segments and send or schedule approved WhatsApp message templates, and it reports delivery and read statistics. DripRaven is also available as open-source software you can self-host; these Terms govern the hosted Service we operate, not your own deployments.

2. Accounts

You must provide accurate information when you register and keep your credentials and API keys secure. You are responsible for all activity that occurs under your account or API keys, including actions taken by AI agents you connect to the Service. Notify us promptly at support@dripraven.com of any unauthorized use.

3. Your responsibilities for messaging

DripRaven sends messages to the recipients you choose. You are solely responsible for the contacts you upload and the messages you send, and you represent and warrant that:

  • You have a lawful basis and any required opt-in consent to message each contact, and you honor opt-out requests promptly.
  • Your use complies with all applicable laws (including anti-spam, telemarketing and data-protection laws) and with Meta’s WhatsApp Business Messaging Policy and the WhatsApp Business Terms.
  • You will not send spam, unlawful, deceptive, harassing, or infringing content, and you are the controller of your contact data as described in our Privacy Policy.

4. Acceptable use

You agree not to:

  • Use the Service to violate any law or the rights of others.
  • Attempt to gain unauthorized access to the Service, other accounts, or our systems, or interfere with or disrupt the Service.
  • Reverse engineer, resell, or misuse the hosted Service except as permitted by its open-source license for self-hosting.
  • Exceed rate limits or circumvent technical or usage restrictions.

We may suspend or terminate access that we reasonably believe violates these Terms or Meta’s policies, or that poses a security or legal risk.

5. Third-party services

The Service relies on third parties, including Meta’s WhatsApp Business Platform. Your use of WhatsApp through DripRaven is also subject to Meta’s applicable terms and policies. We are not responsible for third-party services, and their availability or changes may affect the Service.

6. Fees

If the Service or any plan you select is offered for a fee, you agree to pay the fees described at the time of purchase. Meta may separately charge for WhatsApp conversations or messages; those charges are between you and Meta.

7. Intellectual property

We and our licensors retain all rights in the hosted Service and its trademarks. The DripRaven software is made available under its open-source license, the terms of which govern your rights to that code. You retain all rights in the content and data you upload; you grant us a limited license to process it solely to provide the Service.

8. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any message will be delivered.

9. Limitation of liability

To the maximum extent permitted by law, Helicon Solutions will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the amounts you paid us for the Service in the twelve months before the event giving rise to the claim (or USD 100 if you paid nothing).

10. Indemnification

You agree to indemnify and hold harmless Helicon Solutions from any claims, damages and expenses (including reasonable legal fees) arising from your content, your messaging, your breach of these Terms, or your violation of any law or third-party right.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms or Meta’s policies, or to comply with law. On termination, your right to use the Service ends; data handling on termination is described in our Privacy Policy.

12. Governing law

These Terms are governed by the laws of the United States and the State in which Helicon Solutions is organized, without regard to conflict-of-laws rules. The courts located there will have exclusive jurisdiction, except where applicable law grants you rights to a different forum.

13. Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, notify you. Your continued use of the Service after an update means you accept the revised Terms.
